Celtic plc’s AGM for 2024 took place today (Friday), at Celtic Park, with shareholders attending the event at the stadium.
Peter Lawwell led the meeting as Celtic chairman, and he was joined by his fellow directors, along with Celtic men’s first-team manager, Brendan Rodgers, and women’s team head coach, Elena Sadiku. Tom Allison, senior independent director was unable to attend today and offered his apologies. It was noted that this is the first AGM Tom has missed during his time as a director.
After the chairman welcomed shareholders to the meeting, a video presentation featuring Peter Lawwell, Chief Executive Michael Nicholson, Chief Financial Officer, Chris McKay and Chief Executive of the Celtic FC Foundation, Tony Hamilton, was shown.
In the formal business of the AGM, the 9 Resolutions were proposed by the board. Eight of them were ordinary resolutions, with Resolution 9 being a special resolution.
The first Resolution sought to confirm the Auditor’s Report, the Strategic report and the Directors’ Report for the year ended June 30, 2024.
Resolution 2 saw Michael Nicholson re-elected as an Executive Director and as Chief Executive Officer.
Resolutions 3 through 5 saw Dermot Desmond, Tom Allison and Brian Wilson re-elected as non-executive directors.
BDO LLP were re-appointed as auditors of the company after Resolution 6, and Resolution 7 granted authority to the Board to determine the Auditor’s remuneration while Resolution 8 granted the Directors a general authority to allot shares and Resolution 9 granted the directors authority to disapply pre-emption rights.
After the formal votes, there was a second video presentation, which featured men’s first-team manager, Brendan Rodgers, and women’s first-team head coach, Elena Sadiku.
Following that, there was a question and answer session before the AGM was brought to an end by the chairman, Peter Lawwell.
